Terms of Service

BuildTayo provides website and e-commerce development, custom software, business automation, API and system integrations, AI-enabled solutions, maintenance, support and related technical services.

In these Terms, “BuildTayo,” “we,” “us” and “our” refer to BuildTayo. Required legal or business details that are not configured will not be invented or displayed.

Your access to and use of this website is subject to these Terms to the extent applicable. Merely viewing a page does not waive substantive statutory rights.

A paid project requires a separate proposal, statement of work, service agreement or other documented acceptance process.

If you communicate with BuildTayo on behalf of a company or other organization, you represent that you are authorized to communicate with us on its behalf regarding the relevant inquiry or project.

You may browse service and pricing guidance, review portfolio or professional experience, submit inquiries, request quotations, use customer chat and contact us.

You must not attempt unauthorized access, probe or attack infrastructure, introduce malware, interfere with operation, abuse forms or chat, impersonate another person, circumvent access controls, obtain another customer’s data or use the website unlawfully.

We make reasonable efforts to keep service information accurate and current. Website descriptions are general information and do not establish the complete scope of a project.

Actual deliverables are defined in the applicable proposal, statement of work, project agreement, quotation or other written project document.

Prices on BuildTayo.online may be starting prices, typical ranges or guidance—not final quotations. Final pricing may depend on scope, features, pages or screens, design, integrations, migration, content, infrastructure, timeline, support, third-party services and technical complexity.

Accepted work should be documented separately. A project agreement may establish scope, deliverables, price, payment schedule, milestones, timeline, responsibilities, revision limits, acceptance criteria, intellectual property, licensing, hosting, third-party services, maintenance, support, termination and change requests.

Quotes and proposals may state scope assumptions, dependencies, exclusions, estimated timelines, third-party costs and their own validity period. No universal quote-expiration period applies unless stated in the relevant document.

Only features, deliverables and services included in the agreed scope are included. Out-of-scope requests may require a change request, additional quotation, timeline adjustment, new milestone or separate project. Revisions are not unlimited unless expressly agreed.

If a requested change materially affects scope, complexity, dependencies or delivery time, BuildTayo may provide an updated estimate or change request. The customer should approve material changes before chargeable additional work begins.

Clients may need to provide timely requirements, feedback, approvals, content, brand assets, product information, API documentation, third-party access, testing feedback and other agreed materials. Delays in required inputs may affect the schedule, but do not excuse unrelated BuildTayo delays.

You retain your existing rights in logos, images, text, videos, product information, documents, data, software and brand assets you provide. You should have the rights and permissions needed for BuildTayo to use them for the project.

BuildTayo pre-existing materials

Reusable utilities, libraries, frameworks, templates, tools, generic components, know-how, methods and pre-existing code remain subject to their existing ownership and licences.

Client materials and project deliverables

Client materials remain subject to the client’s existing rights. Ownership and licensing of project-specific deliverables will be described in the applicable proposal, statement of work or project agreement.

BuildTayo may publicly identify a client or display a logo, screenshot, case study or other client material only as permitted by the project agreement or separate permission.

Projects may use open-source libraries, frameworks, SDKs, APIs, plugins, packages and other third-party components. They remain subject to their own licences and terms and are not represented as exclusively owned by BuildTayo or the client.

Projects may depend on domain registrars, hosting or cloud providers, Firebase, Shopify, WooCommerce, payment and shipping providers, email or SMS services, maps, AI providers, analytics, plugins and SaaS platforms. BuildTayo does not control their terms, availability, pricing, policies or technical limitations.

Integrations depend on external documentation, authentication, rate limits, permissions, provider approval, sandbox access, availability and API changes. BuildTayo cannot guarantee provider approval, permanent endpoints or uninterrupted third-party operation, but remains responsible for its own agreed implementation obligations.

BuildTayo may develop or configure e-commerce functionality. Unless specifically agreed otherwise, the merchant remains responsible for its products, pricing, customer disclosures, lawful sales practices, taxes and business obligations. Mandatory consumer protections are not excluded.

AI-enabled systems may produce incomplete, inaccurate or inappropriate output depending on the use case, model, data and configuration. Appropriate human review should be maintained for important decisions. We do not promise perfect accuracy, no hallucinations, guaranteed outcomes or legal compliance from AI output.

We may maintain, update, modify, improve or temporarily interrupt the public website. We do not promise 100% uptime, zero bugs or permanent availability. This does not permit arbitrary deprivation of separately contracted, paid services.

Website examples and preliminary discussions do not create guaranteed delivery dates. Project schedules may depend on scope, client feedback, approvals, content, third-party access, integration dependencies, changes and technical discoveries. BuildTayo should communicate material schedule changes.

Where appropriate, project documents should define testing, review, acceptance criteria, bug reporting and launch, and distinguish defects from new features or change requests. These Terms do not impose harsh automatic acceptance.

Software cannot reasonably be guaranteed to be entirely uninterrupted or error-free. To the extent permitted by law, website information is provided without promises beyond those expressly stated. BuildTayo remains responsible for obligations expressly undertaken in a project agreement and for mandatory obligations under applicable law.

To the extent permitted by applicable law, responsibility for a paid project should be allocated proportionately in its project agreement, considering the services and risks involved. These public Terms do not create a monetary liability cap or exclude liability in all circumstances.

Nothing here excludes or limits rights, remedies or responsibilities that cannot legally be excluded or limited. Any negotiated indemnity belongs in the project agreement and requires appropriate review.

Our collection and processing of personal data is described in our Privacy Policy. Customer chat is intended for inquiries and customer communication; do not send passwords, card information, private keys, secret API credentials, malware or illegal content. We may restrict abusive use.

You must not knowingly use the website or services for illegal activity, fraud, malware, unauthorized access, intellectual-property infringement, abusive attacks, security circumvention, unlawful personal-data collection or impersonation.

Confidential project information should be handled under applicable agreements and reasonable confidentiality practices. A negotiated NDA, project agreement or confidentiality agreement should be used where appropriate; these public Terms do not replace one.

Development does not automatically include unlimited lifetime maintenance or support. Any support period, maintenance scope, response expectations, included hours, monitoring, updates or ongoing development must be stated in the relevant agreement.

An inquiry may be abandoned before a binding project agreement is entered into, subject to any separately agreed obligations. For accepted work, cancellation rights, notice, payment for completed work, deposits and delivery of work in progress are governed by the project agreement and applicable law.

Any refund, cancellation or payment adjustment depends on the project agreement, work performed, third-party costs and rights available under applicable law. There is no blanket “no refunds” rule in these Terms.

BuildTayo may restrict website or chat access for security threats, abuse, fraud, illegal activity, unauthorized-access attempts or material violations. Paid project termination follows the applicable project agreement and law.

Communications may occur by email, website forms, customer chat and other agreed channels. Not every casual message accepts every contractual change; material approvals should use an appropriate documented process.

Formal project notices should follow the project agreement. Public social-media posts or comments are not formal contractual notice unless expressly agreed.

These Terms are governed by the laws of the Republic of the Philippines, subject to any mandatory laws or rights that apply. These Terms do not specify an exclusive court or venue.

If you have a concern about BuildTayo’s services, please contact us first so we can review the issue and attempt to resolve it. Nothing here requires arbitration, waives lawful court remedies or prevents a person from contacting DTI, the National Privacy Commission, a court or another competent authority where they have a lawful right to do so.

BuildTayo may update these Terms when services, business practices or applicable requirements change. We will change the “Last updated” date and provide additional notice where appropriate or legally required. Existing signed project agreements remain subject to their own amendment provisions.

Severability and no waiver

If a provision is unenforceable, the remaining provisions continue to the extent legally possible. A delay in enforcing a provision does not necessarily waive it.

How these documents work together

For public website use, these Terms and expressly incorporated policies are the applicable website terms. Paid projects may have additional written terms. A project-specific agreement controls a conflict concerning that project, subject to law; privacy obligations remain governed by applicable privacy law and the relevant notice or agreement.
